1.1 We, Vehicle Data Global Ltd ("VDGL", "we", "us", "our"), provide our API and webservice (as may be renamed, relocated, redesigned, or otherwise changed from time to time) (the "API/Webservice"). We are a limited company registered in England and Wales with our registered office at Vehicle Data Global Ltd, Princess House, Princess Way Swansea, SA1 3LW.
1.2 These terms and conditions constitute a legally binding agreement between you and VDGL governing your access to and use of our API/Webservice.
1.3 We legally own a wide range of intellectual property rights used in and relating to our services, including:
2.1 By accessing or using any part of the API/Webservice, you agree to be bound by these terms and conditions. If you do not want to agree to these terms, do not access or use the API/Webservice.
2.2 We may amend these terms at any time without prior notice. Any changes will be posted on our website, and your continued use of the API/Webservice after such changes constitutes your acceptance of the revised terms.
2.3 You confirm that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United Kingdom or other applicable jurisdiction.
3.1 We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and our Privacy Policy.
3.2 By using the API/Webservice, you acknowledge and consent to our collection and processing of personal data as described in our Privacy Policy.
3.3 You agree to comply with all applicable data protection laws when handling any personal data obtained through our API/Webservice.
3.4 As a data processor, where applicable, you must implement appropriate technical and organizational measures to ensure the security of personal data processed through our API/Webservice.
4.1 The API/Webservice allows you to search for vehicle data and to contact organisations that provide related deals and services.
4.2 You may use the API/Webservice and search results for legitimate business purposes unless prohibited under Section 6 of these terms.
4.3 Prices displayed are for information purposes only and do not constitute an offer capable of acceptance by you. The information provided does not constitute financial advice.
4.4 We may limit your access to certain parts of the API/Webservice based on your registration status and authorization level.
4.5 You must not share your login credentials, API key, password, or any security information with any third party. You are responsible for maintaining the confidentiality of your account information.
4.6 You acknowledge that we have the right to monitor your use of the API/Webservice to ensure compliance with these terms.
5.1 You are responsible for maintaining accurate account information and for all activities occurring under your account.
5.2 We reserve the right to suspend or terminate access to the API/Webservice if we reasonably believe you have violated these terms.
5.3 You must immediately notify us of any unauthorized use of your account or any other security breach.
6.1 You must not use the API/Webservice:
7.1 You may cache lookup data (except for VDI Check Data, which requires a new call each time) until midnight on the same day, after which a fresh record must be requested.
7.2 Lookup data may be stored as part of a memorialized customer record, such as against an insurance quotation, vehicle inspection, or work. If uncertain, contact your account manager.
7.3 You must not display the VIN/Chassis number to a non-verified trade body. A consumer must not be shown the full VIN number derived from a VRM lookup. This includes concealing it in HTML or similar source code.
7.4 You must not compile a new, duplicate, copy, or additional database of VRMs that is searchable in any way, except as permitted in clause 7.2.
7.5 Advertising using Vehicle Registration Mark data is prohibited. Please consult your account manager if in doubt.
7.6 You must not resell any data obtained from our APIs as a lookup, index, database, flat file, or other type of storage or lookup service without prior written permission from VDGL.
7.7 You must maintain all third-party data licenses for any codes or other datasets obtained via our API, and annual renewals will be verified.
7.8 You are responsible for implementing appropriate security measures to protect data obtained through the API/Webservice.
8.1 Trial accounts are provided solely for testing the VDGL API in a closed environment.
8.2 Sandbox/Trial testing data must not be used in any live publicly available website, application, or similar interface.
8.3 Sandbox/Trial accounts are limited to registrations containing the letter 'A' to prevent misuse.
8.4 We reserve the right to terminate trial accounts at any time without notice.
9.1 Charges apply on a per-lookup basis according to your tariff.
9.2 Only successful lookups are charged, except when the ratio of successful lookups versus unsuccessful lookups (registrations not found, invalid registrations, or similar) exceeds 20% of the overall account usage in a calendar month.
9.3 We reserve the right to charge for all lookups regardless of result at the discretion of your account manager. We will attempt to contact you to help resolve any issues causing this situation.
9.4 Payment terms are as specified in your service agreement. Failure to pay in accordance with these terms may result in suspension or termination of your access to the API/Webservice.
9.5 All charges are exclusive of VAT, which will be added at the applicable rate.
10.1 All intellectual property rights in the API/Webservice and its content are owned by VDGL or its licensors.
10.2 You are granted a limited, non-exclusive, non-transferable license to use the API/Webservice in accordance with these terms.
10.3 You must not use our name, logos, or trademarks without our prior written consent.
10.4 You must not remove, obscure, or alter any proprietary notices or labels on or in the API/Webservice.
11.1 The API/Webservice is provided on an "as is" and "as available" basis without any representation or warranty of any kind.
11.2 To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.3 We do not warrant that the API/Webservice will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
11.4 We do not warrant the accuracy, completeness, or reliability of any data provided through the API/Webservice.
12.1 Nothing in these terms excludes or limits our liability for:

12.3 Our total liability to you in respect of all losses arising under or in connection with these terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the liability.
13.1 You agree to indemnify, defend, and hold harmless VDGL and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:
14.1 We may terminate or suspend your access to the API/Webservice immediately without prior notice or liability for any reason, including if you breach these terms.
14.2 You may terminate your use of the API/Webservice at any time by ceasing to use it and, if applicable, by canceling your account in accordance with your service agreement.
14.3 Upon termination:
14.4 The provisions relating to Intellectual Property, Limitation of Liability, Indemnification, and any other provisions which by their nature are intended to survive, shall survive termination.
15.1 We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, flood, epidemic, pandemic, lock-outs, strikes or other labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials.
16.1 Entire Agreement: These terms constitute the entire agreement between you and VDGL regarding the API/Webservice and supersede all prior agreements.
16.2 No Waiver: Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
16.3 Severability: If any provision of these terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
16.4 Assignment: You may not assign or transfer these terms or your rights and licenses granted hereunder without our prior written consent. We may assign our rights and obligations under these terms without restriction.
16.5 Relationship: Nothing in these terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and VDGL.
16.6 Third-Party Rights: A person who is not a party to these terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these terms.
16.7 Notices: All notices relating to these terms will be sent to the contact information provided by you or as otherwise specified in your service agreement.
17.1 These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
17.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter or formation (including non-contractual disputes or claims).
